Terms of Service
Effective Date: October 19, 2026
1. Introduction and Acceptance of Terms
These Terms of Service (the “Terms”) govern your access to and use of the website, services, content, and any related products provided by TrueNorth Audio Inc. (“TrueNorth Audio Inc.”, “we”, “us”, or “our”), with a business address at 250 Yonge Street, Toronto, ON, Canada, and website domain benzim.click.
By accessing or using our website or services, including podcast-related services, you agree to be bound by these Terms and any policies referenced herein. If you do not agree, you must not access or use our services.
You represent and warrant that you are at least the age of majority in your jurisdiction and have the legal capacity to enter into a binding agreement. If you are using our services on behalf of a business or other legal entity, you represent that you have authority to bind that entity to these Terms.
2. Scope of Services
TrueNorth Audio Inc. provides podcast-related services, which may include, without limitation, podcast production support, audio editing, post-production, publishing assistance, consulting, distribution support, project coordination, and related creative or technical services (collectively, the “Services”).
The specific scope, deliverables, timelines, fees, and technical requirements for any project will be set out in a proposal, statement of work, order form, email confirmation, invoice, or other written agreement between you and TrueNorth Audio Inc. If there is any conflict between these Terms and a separately signed agreement, the separately signed agreement will control to the extent of the conflict.
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, subject to applicable law and any express written commitments in a separate agreement.
3. User Obligations and Responsibilities
You agree to:
- Provide accurate, complete, and current information when communicating with us or requesting Services.
- Cooperate promptly and provide all materials, approvals, access, and instructions reasonably required for us to perform the Services.
- Ensure that all content, recordings, music, artwork, scripts, guest releases, trademarks, and other materials you provide are lawful and do not infringe the rights of any third party.
- Obtain all necessary consents, permissions, licenses, and releases for any third-party content or personal information used in your podcast or related materials.
- Comply with all applicable federal, provincial, territorial, and local laws, regulations, and industry requirements in Canada and any jurisdiction in which your content is distributed.
- Not use our Services for unlawful, fraudulent, defamatory, hateful, harassing, or misleading purposes.
- Not attempt to interfere with the security, integrity, or operation of our systems, website, or Services.
You are solely responsible for the content of your podcast and any claims made in or through your materials. We do not assume responsibility for legal review, fact-checking, or clearance of content unless expressly agreed in writing.
4. Payment Terms and Conditions
Fees for Services will be communicated in advance through a quote, proposal, invoice, or other written arrangement. Unless otherwise stated, all fees are quoted in Canadian dollars (CAD) and are exclusive of applicable taxes, including GST/HST, which will be added where required by law.
Payment terms may require advance payment, milestone payments, recurring fees, or payment upon invoice, as specified in the applicable agreement or invoice. Payment is due by the date stated on the invoice. If no date is stated, payment is due within fifteen (15) days of the invoice date.
Late payments may result in suspension or delay of Services until all outstanding amounts are paid in full. We may charge interest on overdue amounts at the lesser of 1.5% per month (18% per annum) or the maximum rate permitted by law, calculated from the due date until payment is received in full.
You are responsible for all bank charges, chargeback fees, payment processing fees, currency conversion charges, and collection costs incurred in connection with your account, to the extent permitted by law.
5. Cancellation and Refund Policy
Cancellation requests must be submitted in writing to [email protected]. Any cancellation will take effect only when confirmed by us in writing.
Because our Services may involve allocation of studio time, production resources, scheduling commitments, and customized work, fees already incurred, work already completed, and non-cancellable third-party costs are generally non-refundable, except where required by applicable law or expressly stated otherwise in a written agreement.
If you cancel a project after work has begun, you may remain responsible for:
- All completed work and time spent up to the effective cancellation date;
- Approved expenses and third-party charges;
- Reasonable wind-down or termination fees, if specified in the applicable agreement.
If TrueNorth Audio Inc. cancels a project for reasons within our control, we will refund any unearned prepaid fees for services not performed, subject to deduction of amounts already earned and any non-recoverable costs, unless otherwise required by law or a separate agreement.
Nothing in this section limits any rights you may have under applicable Canadian consumer protection laws, where those laws apply and cannot be waived.
6. Liability Limitations
To the fullest extent permitted by applicable law, TrueNorth Audio Inc. shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of data, loss of goodwill, business interruption, or reputational harm, arising out of or relating to the Services or these Terms, even if advised of the possibility of such damages.
To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Services or these Terms shall not exceed the amount paid by you to TrueNorth Audio Inc. for the specific Services giving rise to the claim during the three (3) months preceding the event giving rise to the claim, or CAD $100, whichever is greater, unless a higher amount is required by applicable law.
We do not guarantee uninterrupted, error-free, or secure operation of the website or Services, nor do we warrant that the Services will meet every requirement or produce any particular commercial outcome.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for gross negligence, wilful misconduct, fraud, or any other liability that cannot lawfully be limited.
7. Intellectual Property Rights
Unless otherwise agreed in writing, all intellectual property rights in our website, templates, workflows, methodologies, tools, software configurations, branding, and pre-existing materials remain the property of TrueNorth Audio Inc. or its licensors.
Upon full payment of all applicable fees, and subject to any separate written agreement, you will receive a limited, non-exclusive, non-transferable license to use the final deliverables we create specifically for you for the intended purpose of your podcast or related business use.
You retain ownership of materials you provide to us, including your scripts, logos, recordings, and third-party licensed materials, subject to any rights granted to us for the purpose of performing the Services.
Unless otherwise agreed in writing, we may use general knowledge, skills, and experience acquired in performing the Services, provided that we do not disclose your confidential information or exploit your proprietary content without authorization.
If we create derivative or edited content from your materials, ownership of underlying source materials remains with the respective rights holder, and any transfer of rights in the final deliverable is limited to the extent expressly stated in writing.
8. Data Protection and Privacy
TrueNorth Audio Inc. handles personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA), and any other applicable provincial privacy legislation.

We may use service providers that process data on our behalf, subject to contractual or other safeguards. While we take reasonable administrative, technical, and physical measures to protect personal information, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.
If you submit or upload personal information of guests, collaborators, or other third parties, you represent that you have obtained all required notices, consents, and permissions to disclose that information to us for the intended purpose.

In the event of force majeure, our obligations will be suspended for the duration of the event, and we will make reasonable efforts to resume performance as soon as practicable. If the event continues for an extended period, either party may seek to modify or terminate the affected Services in good faith, subject to any accrued payment obligations.
10. Changes to Terms
We may update or modify these Terms from time to time to reflect changes in our Services, operational needs, or legal requirements. The revised Terms will be posted on our website or otherwise communicated to you with an updated effective date.
Your continued use of the Services after the updated Terms become effective constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Services and, where applicable, cancel any ongoing arrangements in accordance with these Terms or your separate agreement.
11. Applicable Law and Jurisdiction
These Terms and any dispute, claim, or controversy arising out of or relating to them, the Services, or your use of the website shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.
Subject to any applicable mandatory law, the parties irrevocably submit to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada for the resolution of any dispute arising out of or relating to these Terms or the Services.
